Terms and Conditions
Part A — General Provisions
1. Scope of Application
These General Terms and Conditions (GTC) apply to all contracts for the purchase of goods and services concluded via the online shop at hasemed.com between Bormann Bioscience LLC (hereinafter "Seller") and customers. Customers may be consumers within the meaning of § 13 of the German Civil Code (BGB) or entrepreneurs within the meaning of § 14 BGB. Deviating, conflicting or supplementary general terms and conditions of the customer shall only become part of the contract if and to the extent that the Seller has expressly agreed to their application in writing.
2. Conclusion of Contract
All offers on hasemed.com are non-binding and subject to change. Orders may be placed by telephone, e-mail, post or via the online shopping cart system. By submitting an order, the customer makes a binding offer to enter into a purchase contract. The contract is concluded upon the Seller's order confirmation or at the latest upon dispatch of the goods.
3. Prices and Shipping Costs
The prices displayed on the website or in the quotation at the time of the order apply. Shipping costs are shown separately and shall be borne by the customer in addition to the purchase price. For cross-border deliveries, additional taxes, customs duties and charges may apply that are not included in the purchase price and shall be borne by the buyer.
4. Delivery
Delivery dates and deadlines are only binding if expressly confirmed in writing by the Seller. Partial deliveries are permissible insofar as this is reasonable for the customer. Delivery is made from the warehouse in Berlin (good-stock GmbH & Co. KG). The Seller shall not be responsible for delivery delays caused by force majeure or unforeseeable events.
5. Liability
The Seller shall be liable without limitation for intent and gross negligence, and for culpable injury to life, body or health. In all other respects, liability is limited to typically foreseeable damages in the event of a breach of material contractual obligations. Any further liability is excluded. Liability under the German Product Liability Act (Produkthaftungsgesetz) remains unaffected.
6. Data Protection
The collection and processing of personal data is carried out in accordance with our Privacy Policy, which is available at hasemed.com/datenschutz.
7. Applicable Law
The law of the Federal Republic of Germany applies, excluding the UN Convention on Contracts for the International Sale of Goods (CISG). In the case of consumers, this choice of law applies only to the extent that it does not deprive the consumer of the protection afforded by mandatory provisions of the law of the country in which the consumer has their habitual residence.
8. Severability Clause
Should any individual provision of these GTC be or become wholly or partially invalid or unenforceable, this shall not affect the validity of the remaining provisions. The invalid provision shall be replaced by the legally permissible rule that comes closest to the economic purpose of the invalid provision.
Part B — Provisions for Entrepreneurs (B2B)
The following provisions apply exclusively to customers who are entrepreneurs within the meaning of § 14 BGB.
1. Prices
All prices quoted to entrepreneurs are net prices plus the applicable statutory value added tax.
2. Payment
Invoices are payable within 14 days of the invoice date without deduction. In the event of default in payment, default interest at a rate of 9 percentage points above the base interest rate per annum will be charged. The right to claim additional damages caused by the default is reserved.
3. Retention of Title
The delivered goods remain the property of the Seller until all claims arising from the business relationship have been paid in full. The entrepreneur is entitled to resell the reserved goods in the ordinary course of business but hereby assigns to the Seller all claims arising from such resale up to the amount of the invoice.
4. Warranty
The warranty period for entrepreneurs is 1 year from delivery of the goods. Defects must be reported immediately, and in any event no later than 14 days after discovery, in writing. For used goods, the warranty is fully excluded to the extent permitted by law.
5. Place of Jurisdiction
The place of jurisdiction for all disputes arising from and in connection with this contractual relationship is Miami, Florida, USA. However, the Seller is entitled, at its discretion, to also bring an action at the court in Berlin or at the competent EU court at the entrepreneur's registered seat.
Part C — Provisions for Consumers (B2C)
The following provisions apply exclusively to customers who are consumers within the meaning of § 13 BGB.
1. Prices
All prices quoted to consumers are gross prices including the applicable statutory value added tax (final prices). Additional delivery and shipping costs are shown separately during the ordering process.
2. Payment
Available payment methods will be displayed to the consumer during the checkout process. The terms and conditions of the respective payment service provider apply.
3. Warranty
Statutory warranty rights apply. The warranty period is 2 years from delivery of the goods.
4. Right of Withdrawal
Consumers are entitled to a statutory right of withdrawal. For details, please refer to our separate withdrawal policy at hasemed.com/widerruf. The right of withdrawal is excluded for sealed goods which are not suitable for return due to health protection or hygiene reasons if the seal has been removed after delivery (e.g., opened rapid tests, disinfectants, compresses, medical consumables).
5. Place of Jurisdiction
The statutory rules on place of jurisdiction apply to consumers. A consumer may bring an action either at the court of their general place of residence or at the Seller's registered place of business.
6. Dispute Resolution

We are neither willing nor obliged to participate in dispute resolution proceedings before a consumer arbitration board.
